Terms of Service

1. Parties and purpose

These Terms of Service ("Terms") govern the contractual relationship between IANOVA — Karin Andrea Jorquera Montecinos ("IANOVA", "we"), based in Valencia (Spain), Carrer de Just Vilar 24, 46011, Tax ID (NIF) Z2643977V, and the person or entity engaging IANOVA's services ("the Client", "you").

IANOVA provides custom software and application development services for businesses, as well as access to IANOVA's own products (such as 3LIT3), each additionally governed by its own specific terms where applicable.

2. Scope of service

[The scope, deliverables and timeline of each project are defined in a proposal or specific agreement made with the Client before work begins. These general Terms apply as a complement to that agreement.]

3. Pricing and payment terms

4. Intellectual property

Unless expressly agreed otherwise in writing, IANOVA transfers to the Client the exploitation rights over the software developed specifically for them, once the full agreed price has been paid. IANOVA retains ownership of its own tools, libraries, methodologies and prior know-how, which it may continue to use on other projects.

5. Confidentiality

Both parties agree to keep confidential any non-public information shared in connection with the project, and not to disclose it to third parties without authorization, except where legally required.

6. Duration and cancellation

7. Service level and availability

IANOVA makes commercially reasonable efforts to meet agreed timelines, without this constituting an obligation of result unless expressly agreed in the project's specific contract.

8. Limitation of liability

To the extent permitted by law, IANOVA's total liability to the Client for any claim arising from these Terms is limited to the amount actually paid by the Client for the service giving rise to the claim. IANOVA is not liable for indirect damages or loss of profit.

9. Changes to these Terms

IANOVA may modify these Terms to reflect legal, technical or service changes. Substantial changes will be communicated to active clients with reasonable notice.

10. Applicable law and jurisdiction

These Terms are governed by Spanish law. For any dispute arising from their interpretation or performance, the parties submit to the Courts of Valencia (Spain), without prejudice to the jurisdiction that may legally correspond to the Client when acting as a consumer.
